1. Acceptance of Terms

By accessing, browsing, registering for, or otherwise using DaVinci Market, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.

DaVinci Market may update or modify these Terms from time to time. Continued use of the platform after changes are made constitutes acceptance of the revised Terms.

2. About DaVinci Market

DaVinci Market is an online marketplace designed for users of DaVinci Resolve to discover, purchase, download, and sell digital tools, creative assets, and workflow enhancements.

Products on DaVinci Market may include, but are not limited to: LUTs, DCTLs, plugins, scripts, templates, transitions, presets, PowerGrades, creative assets, educational tools, and related workflow resources.

DaVinci Market acts as a marketplace and intermediary between creators and customers. Unless otherwise stated, products sold through the platform are created and owned by independent creators, not by DaVinci Market.

3. Accounts

Users may create an account to purchase products, manage downloads, receive updates, and access marketplace features.

Creators may apply or be invited to participate as sellers on DaVinci Market. Creator access may be limited, invite-only, or subject to review during early platform rollout.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

DaVinci Market reserves the right to suspend, restrict, or remove accounts that violate these Terms or compromise the integrity of the platform.

4. Creator Participation

Creators who upload or sell products through DaVinci Market retain ownership of their products, intellectual property, branding, trademarks, and uploaded content.

By listing content on DaVinci Market, creators grant DaVinci Market a non-exclusive, worldwide license to host, display, market, promote, distribute, resize, showcase, and feature their products for marketplace and promotional purposes.

This includes, but is not limited to:

• Displaying thumbnails and previews
• Featuring products in collections or promotions
• Marketing products through DaVinci Market channels
• Applying discounts or promotional campaigns
• Optimizing listings for marketplace presentation

Ownership of creator products is never transferred to DaVinci Market.

5. Marketplace Fees & Payments

DaVinci Market retains a marketplace commission of 13.9% on completed sales made through the platform.

Remaining revenue, less applicable fees, taxes, payment processing costs, or other deductions where required, will belong to the creator.

Pricing may be changed by creators or by DaVinci Market as part of promotional campaigns, featured discounts, or marketplace events.

DaVinci Market reserves the right to update commission structures in the future with reasonable notice.

6. Purchases & Digital Products

Products sold on DaVinci Market are digital goods and are delivered electronically.

Upon purchase, customers receive a license to use the purchased product in accordance with any creator-specific usage terms, limitations, or licensing conditions.

Purchasing a product does not transfer ownership of the intellectual property to the buyer.

Customers are responsible for reviewing compatibility information, product descriptions, and licensing details prior to purchase.

7. Refund Policy

Due to the digital nature of products sold through DaVinci Market, all sales are generally considered final.

Refunds are typically not offered by DaVinci Market.

In limited circumstances, a creator may independently choose to offer a refund at their own discretion.

DaVinci Market reserves the right to deny refund requests involving:

• Change of mind
• Compatibility misunderstandings
• User error
• Incorrect purchases
• Failure to review product details

8. Acceptable Content Policy

Products uploaded to DaVinci Market must be original, legally distributable, and accurately represented.

The following content is prohibited:

• Stolen or unauthorized content
• Copyright infringement
• Misleading or deceptive listings
• Malicious software or harmful files
• Spam or duplicate low-quality uploads
• Illegal, abusive, or offensive material

Generic, mass-generated, or low-effort AI-generated content is not permitted on DaVinci Market.

AI-powered products may be permitted only where artificial intelligence is a disclosed and meaningful component of the tool, plugin, workflow, or educational product.

9. Buyer Responsibilities

Customers agree not to:

• Redistribute purchased products
• Resell creator products
• Share downloads publicly
• Upload paid products to third-party platforms
• Claim ownership of creator work
• Use the platform for fraudulent activity

Violation of these terms may result in account suspension, purchase revocation, or removal from the platform.

10. Platform Availability

DaVinci Market is currently in an early rollout phase and may change significantly over time.

We do not guarantee uninterrupted access, permanent availability of listings, or error-free operation of the platform.

DaVinci Market reserves the right to modify, suspend, discontinue, or remove features, creator access, or marketplace functionality at any time.

Use of the platform is provided on an “as is” and “as available” basis.

11. Intellectual Property & Copyright

DaVinci Market respects intellectual property rights and expects creators and customers to do the same.

Creators may only upload products for which they possess full legal rights, ownership, licensing, or authorization to distribute.

Uploading stolen, pirated, copied, leaked, or unauthorized content is strictly prohibited.

DaVinci Market reserves the right to remove content, suspend creator accounts, restrict marketplace access, or investigate listings that may infringe intellectual property rights.

Rights holders who believe their work has been used without authorization may contact DaVinci Market for review.

12. Product Compatibility

DaVinci Market cannot guarantee that every product will function across all versions of DaVinci Resolve, operating systems, plugins, workflows, or hardware configurations.

Compatibility requirements may vary between creators, products, software versions, and system environments.

Customers are responsible for reviewing compatibility information, product descriptions, technical requirements, and creator-provided documentation prior to purchase.

DaVinci Market is not responsible for incompatibilities resulting from software updates, unsupported systems, third-party conflicts, or improper installation.

13. Promotions, Discounts & Featured Listings

DaVinci Market may feature, promote, bundle, highlight, or discount products for marketplace, editorial, promotional, seasonal, or advertising purposes.

Creators acknowledge that participation in promotional campaigns, featured collections, homepage visibility, or discounted offers may be used to improve marketplace discovery and user experience.

Promotional decisions are made at the discretion of DaVinci Market and may change over time.

14. Fraud, Abuse & Marketplace Integrity

DaVinci Market reserves the right to investigate suspicious, fraudulent, abusive, or manipulative activity occurring on the platform.

This includes, but is not limited to:

• Fraudulent purchases or payment abuse
• Unauthorized account access
• Chargeback abuse
• Artificial marketplace manipulation
• Misleading product listings
• Spam activity
• Abuse toward creators or customers

DaVinci Market may suspend accounts, revoke marketplace access, remove products, or restrict platform usage where necessary to maintain marketplace integrity.

15. Account Suspension & Termination

DaVinci Market reserves the right to suspend, limit, remove, or terminate accounts at its discretion where activity is determined to violate these Terms or negatively impact the platform, creators, or customers.

Grounds for suspension or termination may include:

• Violation of these Terms
• Copyright infringement
• Fraudulent conduct
• Unauthorized redistribution of products
• Misleading listings or false claims
• Abusive behavior
• Attempts to harm the platform or its users

DaVinci Market may remove access immediately where reasonably necessary to protect creators, customers, or marketplace security.

16. Third-Party Services

DaVinci Market may rely on third-party providers for services including payments, analytics, hosting, communications, infrastructure, security, and marketplace functionality.

Use of third-party services may also be subject to the terms and policies of those providers.

DaVinci Market is not responsible for disruptions, interruptions, failures, or limitations caused by third-party systems.

17. Disclaimer of Warranties

DaVinci Market is provided on an “as is” and “as available” basis.

We make no guarantees regarding uninterrupted access, creator success, product availability, marketplace performance, or compatibility of products sold through the platform.

DaVinci Market does not warrant that products will meet every expectation, function in every environment, or remain permanently available.

Individual creators remain responsible for the products they upload and distribute.

18. Limitation of Liability

To the maximum extent permitted by applicable law, DaVinci Market, its affiliates, operators, team members, partners, or contributors shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the platform.

This includes, but is not limited to:

• Lost profits or lost revenue
• Software incompatibility
• Corrupted projects or files
• Marketplace downtime
• Creator disputes
• Purchase dissatisfaction
• Interrupted business operations

Your use of DaVinci Market is undertaken at your own risk.

19. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.

Any disputes arising in connection with DaVinci Market shall be subject to the jurisdiction of the courts of Ontario, Canada.

20. Changes to These Terms

DaVinci Market may revise, modify, or update these Terms & Conditions from time to time as the platform evolves.

Updates may reflect new marketplace functionality, creator tools, policies, legal obligations, or operational improvements.

Continued use of DaVinci Market following updates constitutes acceptance of the revised Terms.
